These obligations remain in effect for five years, with the judiciary retaining authority to enforce compliance. The specific conditions of the decree include:

- •An obligation for the combined studio to distribute 30 films during the first two years, followed by 32 releases annually for the subsequent three years.
This legal clearance arrives after Paramount warned it would relocate outside California unless state Attorney General Rob Bonta dropped the litigation.
Leadership and Integration
David Ellison, whose affluent family maintains connections with US President Donald Trump, currently leads Paramount. Ellison is set to continue as chairman and chief executive officer, concentrating on technology, creative direction, and overarching strategy. Concurrently, Ellison appointed Ynon Kreiz, the chief executive of Mattel, to serve as co-CEO for the merged entity. Kreiz, who has directed Mattel since 2018 and guided its expansion into cinema with a major 2023 release, will manage daily operations and the integration process for both enterprises.

Financial Backing and Political Context
Paramount obtained control of these key assets by defeating Netflix in a February bidding contest. The Trump administration greenlit the transaction in June, recognizing it as one of the most massive media consolidations without requiring structural alterations. Funding for the acquisition reportedly encompasses approximately $24 billion in equity sourced from the sovereign wealth funds of Abu Dhabi, Qatar, and Saudi Arabia. Billionaire Oracle creator Larry Ellison, David's father, supplied significant capital along with a lender guarantee.
The political environment stayed fraught; just days prior to the settlement, Trump excluded MS NOW, Politico, and CNN from White House access, a move the news organizations successfully challenged in court.
Ynon Kreiz is scheduled to join Paramount on October 5, securing a board position upon the deal's closure.
